Important Notice

By participating in the QRForever Partner Program, you agree to these terms in addition to our main Terms & Conditions and Privacy Policy. Please read carefully before applying.

1. Introduction & Acceptance

By applying to or participating in the QRForever Partner Program, you agree to these Partner Terms in addition to our main Terms & Conditions and Privacy Policy.

These terms govern the relationship between you ("Partner", "you", "your") and QRForever ("we", "us", "our").

2. Partner Eligibility

To participate, you must:

• Be at least 18 years old (or age of majority in your jurisdiction)

• Have legal capacity to enter into binding contracts

• Possess valid bank account or UPI registered in your name

• Provide accurate information in your application

• Not be located in a country embargoed by India

• Not have previously been terminated from the program

Application Process:

• Submit application via Dashboard > Referrals

• Provide: Business type, promotion method, website/social media, expected referrals

• We review within 5-7 business days

• Approval at our sole discretion

• No guaranteed acceptance

Cooling Period:

• 30-day period after approval before first payout eligibility

• Commissions accrue during cooling period but cannot be paid out

• Designed to detect fraud and ensure referral quality

3. Commission Structure - Detailed Breakdown

Base Commission Rate: 20% recurring

How It Works:

• You earn 20% of every payment made by users you refer

Lifetime recurring: Earn commission on every renewal, not just first payment

• Example: User pays ₹999/month → You earn ₹199.80/month (₹999 × 20%)

Tiered System (Future):

• Current: All partners start at "standard" tier (20%)

• Future tiers: Silver, Gold, Platinum (higher rates for top performers)

• Tier upgrades based on performance metrics (to be determined)

Commission Calculation:

Gross Commission = Payment Amount × (Commission Rate / 100)

TDS Deduction = Gross Commission × 10% (if applicable)

Net Commission = Gross Commission - TDS Deduction

Example Calculation:

User subscription: ₹999

Commission rate: 20%

Gross commission: ₹199.80

TDS (10%): ₹19.98

Net payout to you: ₹179.82

Minimum Requirements to Earn:

1. Active Referrals Minimum: 2 paying customers

• Must have at least 2 referred users with active paid subscriptions

• If you drop below 2 active referrals, commissions become "pending"

• When you regain 2+ active referrals, pending commissions become eligible again

3-Month Rule: If below 2 referrals for 3+ consecutive months, pending commissions forfeited

2. Minimum Payout Threshold: ₹500

• Must accumulate at least ₹500 net earnings to receive payout

• Earnings below threshold roll over to next month indefinitely

• No expiration on accrued earnings

3. Partner Status: Must be "active" (not suspended/terminated)

4. Past Cooling Period: Must be 30+ days since approval

4. Referral Tracking & Attribution

How Tracking Works:

1. Referral Link Generation:

• Unique referral code: 8 characters (e.g., JOHN12AB)

• Base link: https://qrforever.com?ref=YOUR_CODE

• UTM support: Add source, medium, campaign parameters

2. Cookie Placement:

• 60-day attribution cookie set on click

• Cookie ID stored in referral record

• Tracks user through signup and conversion

3. Conversion Funnel:

Click → Signup → Trial (10 days) → Paid Conversion → Active Subscription

4. Attribution Rules:

Last-click attribution: Most recent referral link clicked gets credit

60-day window: User must sign up within 60 days of clicking your link

Override: If user clicks different partner's link, attribution changes

Conversion Tracking:

• Click: Referral link opened, cookie set

• Signup: User creates account within 60 days

• Trial: User activates 10-day free trial

• Conversion: User completes first payment

• Active: User maintains active subscription (recurring commissions)

• Churned: User cancels subscription (commissions stop)

Attribution Edge Cases:

• User clicks your link → Clicks competitor's link → Signs up = Competitor gets credit

• User clicks your link → Clears cookies → Signs up = No attribution (lost referral)

• User clicks your link → Signs up after 61 days = No attribution (cookie expired)

5. Commission Lifecycle & Payouts

Commission Statuses:

1. Pending: Initial state when referred user makes payment

• Reason for pending: Partner < 2 active referrals OR cooling period active

• Visible in dashboard but not payable

2. Eligible: Ready to be included in next monthly payout

• Partner meets all requirements

• Commission has passed any fraud review

• Waiting for monthly payout cycle

3. Approved: Included in monthly payout batch

• Part of a PartnerPayout record

• Awaiting admin approval to transfer

4. Processing: Payout approved by admin, transfer initiated

• Bank transfer in progress

• Usually takes 2-3 business days

5. Paid: Successfully transferred to your account

• Final state - commission earned and received

• Receipt/invoice available in dashboard

6. Cancelled: Commission reversed

• Referred user requested refund

• Payment disputed/charged back

• Fraud detected

7. Forfeited: Lost due to failure to meet requirements

• Partner below 2 referrals for 3+ months

• Partner terminated before payout

Monthly Payout Process:

Timeline:

1st-4th of month: Automated calculation of previous month's eligible commissions

5th of month (2:00 AM IST): Payout records created, status = "pending_approval"

5th-7th of month: Admin review and approval

8th-10th of month: Bank transfers initiated

10th-15th of month: Funds arrive in partner accounts

Requirements for Inclusion:

• Partner status: "active"

• Commissions status: "eligible"

• Total eligible amount: ≥ ₹500

• Payment details: Bank/UPI configured

• Past 30-day cooling period

What You Receive:

• Email notification: "Your payout is ready"

• Invoice number: QRF-YYYYMM-XXXXX format

• PDF invoice (downloadable from dashboard)

• Transaction reference number (after transfer completes)

Skipped Payouts:

If you're skipped in a payout cycle:

• Reason shown in dashboard (e.g., "Below ₹500 threshold")

• Commissions remain eligible, roll over to next month

• No penalty or expiration

6. Tax Obligations & Compliance

Tax Deducted at Source (TDS):

Legal Basis:

• Income Tax Act, 1961, Section 194H (Brokerage/Commission)

• Rate: 10% of gross commission

When TDS Applies:

• All INR commissions are subject to 10% TDS

• Deducted automatically before payout

• Simplified threshold: Applied to all commissions (conservative approach)

TDS Certificate (Form 16A):

• Issued quarterly via email if TDS was deducted

• Shows: Period, gross amount, TDS deducted, TAN number

• Use for income tax return filing

PAN Requirement:

• Mandatory if annual earnings > ₹20,000

• Format: XXXXX9999X

• Validated during payment details setup

• Without PAN: Higher TDS rate may apply (20%)

Your Responsibilities:

1. Provide accurate PAN to avoid higher TDS

2. Declare commission income in your tax returns

3. Claim TDS credit using Form 16A

4. Maintain records of invoices and payments

We Are NOT Responsible For:

• Your personal tax filing or compliance

• Tax advice (consult a CA/tax professional)

• State-specific taxes (if applicable in your region)

GST:

• Partner commissions are currently NOT subject to GST

• If rules change, we will notify you 30 days in advance

• You may need GST registration if earnings exceed threshold (consult tax expert)

7. Fraud Prevention & Detection

Prohibited Activities:

1. Self-Referrals:

• Creating accounts yourself to earn commissions

• Referring family members without disclosure

• Using your own referral link for personal subscriptions

2. Fake Accounts:

• Mass-creating disposable email accounts

• Using bot services to simulate signups

• Creating accounts with no intent to use Service

3. Cookie Stuffing:

• Forcing referral cookies without user consent

• Hidden iframes, auto-redirects

• Browser extensions that inject referral codes

4. Incentive Fraud:

• Paying users to sign up via your link

• Gift card giveaways tied to signup (without disclosure)

• "Get paid to sign up" schemes

5. IP/Device Manipulation:

• VPN hopping to create fake signups from different locations

• Device fingerprint spoofing

• Emulators or virtual machines for multiple accounts

6. Circular Referrals:

• Partner A refers Partner B, who refers Partner A

• Mutual referral networks designed to game system

Fraud Detection System:

We use automated + manual fraud detection:

Automated Flags:

• Same IP for click and signup

• Same device fingerprint

• Signup IP matches partner's known IPs

• Instant signup (< 1 minute after click)

• Rapid signups (multiple in short time from partner)

• Disposable email domains (tempmail, 10minutemail, etc.)

• Suspicious email similarity (john1@, john2@, john3@)

• Circular referral patterns

Fraud Score Calculation:

• Each flag has a weight (10-60 points)

• Total score determines risk level:

- 0-30: Low risk (auto-approved)

- 31-49: Medium risk (monitored)

- 50+: High risk (requires manual admin review)

Flagged Referrals:

• Status: "flagged"

• Commissions created but held as "pending"

• Admin reviews within 5 business days

• Outcome: "approved" or "rejected"

• You can contest via [email protected]

Consequences of Fraud:

First Offense (Minor):

• Warning email sent

• Flagged referrals rejected (commissions forfeited)

• Account remains active with increased monitoring

Second Offense or Severe Fraud:

• Immediate account suspension

• All pending commissions forfeited

• Eligible/approved commissions reviewed case-by-case

• May withhold payouts pending investigation

Termination:

• Permanent ban from partner program

• All unpaid commissions forfeited

• May pursue legal action for damages

• May report to fraud prevention networks

8. Partner Obligations & Conduct

Promotional Standards:

1. Honest Marketing:

• Accurately represent QRForever's features and pricing

• No false claims or exaggerated promises

• No misleading comparisons to competitors

2. Disclosure Requirements:

• Clearly disclose affiliate relationship where legally required

• FTC guidelines (USA): "I earn commission from this link"

• Indian laws: Disclose material connections in promotions

3. Trademark Usage:

• You may use "QRForever" name and logo for promotion

• Must follow brand guidelines (request via support)

• Cannot imply official partnership beyond referral program

• Cannot register domains with "QRForever" without permission

4. Prohibited Marketing Methods:

• Spam (unsolicited emails, messages)

• Keyword bidding on "QRForever" or brand variations in Google Ads/paid search

• False advertising or bait-and-switch tactics

• Adult content, illegal content, hate speech associations

• Impersonating QRForever staff or official channels

5. Content Quality:

• Reviews must be genuine and based on actual experience

• Disclose if you received free access for review purposes

• Update outdated information promptly

Communication:

• We may send partner updates, payout notifications, program changes via email

• You must maintain valid email address in account

• Critical updates: 30-day notice for material changes

Compliance:

• Comply with all applicable laws (spam laws, advertising regulations, tax laws)

• Obtain necessary licenses/permits for your promotional activities

• We are not responsible for your legal compliance

9. Payment Details & Security

Accepted Payment Methods:

1. Bank Transfer (NEFT/IMPS/RTGS):

• Bank name, account number, IFSC code, account holder name

• Must match your registered name (KYC requirement)

• IFSC validated for format

2. UPI:

• UPI ID format: user@bank

• Instant transfers (typically within minutes)

• Recommended for faster payouts

Update Security:

• OTP verification required to update payment details

• OTP sent to registered email, valid 10 minutes

• Prevents unauthorized payment redirection

Data Protection:

• Account numbers masked: Shows last 4 digits only (XXXXXX1234)

• Bank details stored encrypted

• PAN masked: XXXXXX

• Never share full details via email/phone

Payout Failures:

If transfer fails:

• You will be notified via email

• Reason provided (invalid account, account closed, etc.)

• Payout status: "failed"

• Update payment details to retry

• We will reattempt in next payout cycle

10. Suspension & Termination

We May Suspend Your Account If:

• Fraud flags exceed threshold

• Multiple complaints from referred users

• Violation of promotional standards

• Outstanding disputes under investigation

• Unusual referral patterns requiring review

During Suspension:

• No new commissions earned from new referrals

• Existing commissions: Reviewed case-by-case

• Payouts: On hold pending resolution

• May request additional documentation

Reactivation:

• Resolve issues (e.g., update payment details, explain flags)

• Admin review and decision

• If approved: Suspension lifted, pending commissions become eligible

• If denied: Account terminated

We May Terminate Your Account If:

• Severe or repeated fraud violations

• Multiple Terms violations despite warnings

• Failure to respond to suspension inquiry (30+ days)

• Legal requirement or court order

• Our business decision (rare, with 30-day notice if no violations)

Upon Termination:

• No further commissions earned

Pending commissions: Forfeited

Eligible/Approved commissions: Paid out if no fraud detected

Already paid commissions: Not reversed (unless fraudulent)

• Permanent ban from reapplying

You May Terminate Your Participation:

• Email [email protected] with "Terminate Partner Account"

• No penalties or fees

• Final payout (if ≥ ₹500) processed in next cycle

• Earnings < ₹500: Forfeited unless you request payout (we may approve at discretion)

11. Liability & Indemnification

Our Liability:

We are not liable for:

• Lost commissions due to technical issues

• Referred user refunds or chargebacks

• Third-party payment processing delays

• Your tax obligations or penalties

• Your marketing activities or legal compliance

Your Indemnification:

You agree to indemnify QRForever from claims arising from:

• Your promotional activities

• Violations of spam/advertising laws

• False or misleading marketing

• Trademark or copyright infringement in your content

• Fraud or Terms violations

Limitation:

Our total liability to you is capped at total commissions paid to you in preceding 12 months.

12. Program Changes & Termination

We Reserve the Right To:

• Modify commission rates with 60-day notice to existing partners

• Change payout schedule or minimum thresholds with 30-day notice

• Update fraud detection rules without notice (for program integrity)

• Terminate entire program with 90-day notice

Grandfathering (Commission Rate):

• If we lower commission rate, existing partners keep current rate for 12 months

• After 12 months, new rate applies

Program Termination:

If we shut down partner program:

• 90-day notice via email

• All eligible commissions paid out in final cycle

• Pending commissions become eligible (if partner in good standing)

13. Governing Law & Disputes

Governing Law: India

Jurisdiction: Courts of Mumbai, Maharashtra

Dispute Resolution:

3. Legal action as last resort

Survival:

Sections on payment obligations, indemnification, and confidentiality survive termination.
